These Terms of Service and Use are entered into by and between you and PaymentShield Plus LLC dba Equity Pro (“Equity Pro” us, we, our, or Company). COMMUNICATIONS FROM EQUITY PRO TO YOU

By providing your mobile number and opting into our SMS program, you consent to receive text messages from Equity Pro including transactional, promotional, and informational messages. Message frequency may vary depending on your interactions with us.

You affirm that you are the account holder or have the account holder’s permission to enroll the provided mobile number in our SMS program.

You may receive up to 3 messages per week. Message types may include, but are not limited to:

• Claims and customer service-related messages;
• Request for information to support your contract;
• Promotions and offers; or
• Service updates

You may opt out of receiving SMS messages at any time by replying “STOP” or “UNSUBSCRIBE” to any message. You will receive a confirmation message and will no longer receive promotional texts. Opting out of promotional messages does not affect your ability to receive transactional or service-related messages.

LIMITATION ON LIABILITY

IN NO EVENT SHALL EQUITY PRO BE LIABLE FOR ANY LOSS OF USE, REVENUE, OR PROFIT OR LOSS OF DATA OR DIMINUTION IN VALUE, OR FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGE WAS FORESEEABLE AND WHETHER OR NOT EQUITY PRO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ANY AGREED OR OTHER REMEDY OF ITS ESSENTIAL PURPOSE. EQUITY PRO’S TOTAL LIABILITY TO CLIENT FOR ANY CLAIM, LOSS, OR DAMAGE ARISING UNDER OR IN CONNECTION WITH THIS AGREEMENT SHALL IN NO EVENT EXCEED ONE THOUSAND DOLLARS ($1,000.00), REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE.

The limitation of liability set out above does not apply to liability resulting from our gross negligence or willful misconduct.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Equity Pro, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Service and Use or your use of the Website, including, but not limited to, your User Contributions, any use of the Website’s content, services, and products other than as expressly authorized in these Terms of Service and Use, or your use of any information obtained from the Website.

GOVERNING LAW AND JURISDICTION

All matters relating to the Website and these Terms of Service and Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of New Jersey without giving effect to any choice or conflict of law provision or rule (whether of the State of New Jersey or any other jurisdiction).

The federal courts of the United States or the courts of the State of New Jersey, County of Morris shall have exclusive jurisdiction over any legal suit, action, or proceeding arising out of, or related to, these Terms of Service and Use or the Website. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

WAIVER AND SEVERABILITY

No waiver by Equity Pro of any term or condition set out in these Terms of Service and Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Equity Pro to assert a right or provision under these Terms of Service and Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Service and Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service and Use will continue in full force and effect.

ENTIRE AGREEMENT

The Terms of Service and Use, the Privacy Policy and other related written agreements constitute the agreements between you and Equity Pro regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
